IMPORTANT
Please read these Terms before using Venuefy or making an enquiry or booking. By using the Platform, you agree to these Terms and the policies incorporated by reference.
1. Introduction and Acceptance
These Terms & Conditions ("Terms") form a legally binding agreement between you and Amazonis IT Services Pvt. Ltd. ("Amazonis", "we", "us" or "our"), the owner and operator of Venuefy™. They govern your access to and use of the Venuefy website, mobile application, communication channels and related services (collectively, the "Platform").
By accessing the Platform, creating an account, submitting an enquiry, requesting a venue recommendation, paying through the Platform, confirming a booking or otherwise using any service, you confirm that you have read, understood and agreed to these Terms. If you do not agree, you must not use the Platform.
Your use is also subject to the Privacy Policy, Cookie Policy, Cancellation Policy, Refund Policy and any booking-specific terms displayed or communicated before confirmation. These documents are incorporated into these Terms by reference.
2. Definitions
In these Terms, "Customer" or "you" means any person who accesses the Platform, makes an enquiry or books a venue or service. "Venue Partner" means an independent venue owner, operator or authorised representative listed on the Platform. "Service Provider" includes a Venue Partner and any independent wedding or event vendor. "Booking" means a reservation accepted and confirmed by the relevant Service Provider in accordance with the stated terms. "Booking Amount" includes any token, advance, deposit or other amount payable for a Booking. "Platform Fee" means any separately disclosed fee charged by Venuefy for a Platform service.
3. Eligibility and Authority
You must be at least 18 years old and legally capable of entering into a binding contract under applicable law. If you use the Platform for another person, family, company or organisation, you represent that you are authorised to bind them and that all information you provide on their behalf is accurate.
A minor may use the Platform only through a parent or legal guardian. We may request age, identity, authority or contact verification where reasonably necessary.
4. Accounts and Information Provided by You
You must provide complete, current and accurate information, including your name, contact details, event date, location, guest count, budget and requirements. You are responsible for maintaining the confidentiality of login credentials and one-time passwords and for activity carried out through your account or verified contact details.
You must promptly notify us through the support channels shown on the Platform if you suspect unauthorised access. We may refuse, restrict or suspend access where information is false, unverifiable, unlawful or creates a security or fraud risk.
5. Venuefy's Role as a Marketplace Intermediary
Venuefy provides a technology-enabled discovery, enquiry, lead facilitation and booking-support platform connecting Customers with independent Venue Partners and other Service Providers. Unless expressly stated otherwise in writing, Venuefy does not own, operate, manage or control listed venues and does not itself provide catering, decoration, photography, entertainment, transport, accommodation or event-management services.
The contract for a venue or third-party service is directly between you and the relevant Service Provider. Venuefy is not a party to that service contract, does not become an agent, partner, employer, joint venturer or insurer of either party, and is not responsible for performing the Service Provider's obligations.
Verification badges, inspections, recommendations and curated listings indicate only that specified information or documents were reviewed at a particular time. They are not a guarantee of service quality, regulatory compliance, continuous availability, safety, suitability or future performance. You should independently verify all material details before paying or confirming a Booking.
6. Listings, Estimates and Availability
Venue descriptions, photographs, videos, capacity, menus, amenities, packages, prices, taxes, availability, policies and other listing information may be supplied by Venue Partners or other sources. We take reasonable steps to improve accuracy but do not warrant that all information is complete, current or error-free.
Displayed prices may be indicative or starting prices and may vary based on date, season, guest count, event type, food selection, rooms, decoration, licences, taxes and other requirements. Availability shown or communicated before confirmation is not a guaranteed hold. You should obtain a final written quotation and Booking Confirmation from the Service Provider.
7. Enquiries, Quotations and Booking Formation
Submitting an enquiry, requesting a callback, receiving suggestions, scheduling a venue visit or receiving a quotation does not by itself create a Booking. A Booking is formed only when the relevant Service Provider accepts your request, the required payment is successfully received or acknowledged, and a written or electronic Booking Confirmation is issued.
Before confirming, you must review the Booking Confirmation and all commercial and operational terms, including the exact event date and time, venue area, guest limits, inclusions, exclusions, taxes, extra-hour charges, security deposit, cancellation and rescheduling terms, catering or vendor restrictions and payment milestones. Any discrepancy must be raised before payment or confirmation.
A Service Provider may decline an enquiry or Booking request. Venuefy may facilitate alternate options but is not obligated to secure a replacement venue or identical price.
8. Prices, Taxes, Payments and Payment Processing
You must pay all amounts stated in the final quotation or Booking Confirmation by the applicable due dates. Prices may include or exclude GST and other charges as expressly stated. Any Platform Fee will be disclosed before payment and may be non-refundable where legally permitted and where the underlying facilitation service has been performed.
Payments may be collected directly by a Service Provider or processed through an independent payment gateway or collection arrangement. Payment success remains subject to bank, gateway and fraud checks. Venuefy does not guarantee uninterrupted payment processing and does not ordinarily store complete card or banking credentials.
A payment receipt or transaction reference alone does not guarantee a Booking if the transaction is reversed, unauthorised, incomplete or not matched to an accepted request. Never make payment to an unverified personal account solely on the basis of an unsolicited message. Confirm authorised payment instructions through the Platform or official support channel.
9. Customer Responsibilities
You are responsible for:
complying with the confirmed guest limit, event timing, venue rules, safety directions and lawful instructions of the Service Provider;
obtaining or ensuring the availability of licences, permissions and approvals allocated to you under the Booking, including those relating to music, liquor, performance, procession, fire safety or special activities;
the conduct of your guests, invitees, contractors and vendors and any damage, injury, nuisance, penalty or additional cost caused by them;
accurately disclosing high-risk, restricted, unusual or special event requirements before confirmation;
checking access, parking, accessibility, room, food, decoration, power-backup, timing, noise and weather-contingency requirements during the visit or before Booking; and
paying for agreed additions, overtime, excess guests, breakage, security, cleaning or other properly documented charges.
10. Venue Visits and Event-Day Services
Venue visits are subject to appointment, venue access and staff availability. You remain responsible for personal safety, belongings and travel during a visit. Photographs, sample setups and virtual tours are illustrative; actual decor, furniture, lighting, weather, surroundings and condition may differ on the event date.
Service delivery, food quality, staffing, cleanliness, utilities, parking, security, regulatory permissions, event-day coordination and fulfilment of promised inclusions are the responsibility of the relevant Service Provider, subject to your Booking. If an issue arises, notify the Service Provider immediately and also inform Venuefy so reasonable facilitation support can be attempted.
11. Cancellation, Rescheduling, Refunds and No-Shows
Cancellations, date changes, no-shows and refunds are governed by the Cancellation Policy, Refund Policy, the Booking Confirmation and the Service Provider's disclosed terms. The booking-specific terms accepted before payment will apply to the commercial arrangement unless they conflict with mandatory law.
Refund eligibility depends on factors such as who cancelled, notice period, amounts already incurred, non-recoverable commitments, the Service Provider's policy and the payment recipient. Venuefy cannot promise or issue a refund of money paid directly to a Service Provider unless authorised and funded by that Service Provider or required by applicable law.
Where Venuefy has collected an amount, any approved refund will ordinarily be returned to the original payment method after required verification and receipt or adjustment of funds, subject to banking and gateway timelines. Platform Fees and services already performed may be non-refundable to the extent permitted by law and clearly disclosed.
Rescheduling is subject to the Service Provider's written approval, revised availability, price differences and applicable charges. Failure to attend or use the booked services does not automatically create a refund right.
12. Changes, Substitutions and Force Majeure
A Service Provider may make reasonable operational substitutions where a promised item becomes unavailable, provided the substitute is materially comparable or an appropriate adjustment is agreed. Material changes should be documented in writing.
Neither Venuefy nor a Service Provider will be liable for delay or failure caused by events beyond reasonable control, including natural disasters, severe weather, fire, epidemic, government restriction, civil disturbance, strike, utility or network failure, transport disruption or orders of a competent authority. The affected parties should promptly communicate and reasonably attempt rescheduling, substitution or another lawful solution. Refund rights, if any, remain subject to the Booking terms and mandatory law.
13. Third-Party Vendors and Links
The Platform may introduce or link to independent vendors, websites, maps, payment gateways, messaging services or other third-party tools. Their services are governed by their own terms and privacy practices. An introduction, link or recommendation is not an endorsement or guarantee.
If you separately appoint a vendor, including one discovered through Venuefy, you are responsible for reviewing that vendor's quotation, credentials, insurance, permissions, portfolio, cancellation terms and contract before engagement.
14. Reviews, Photos and User Content
You may submit reviews, ratings, photographs, videos, messages or other content only if it is lawful, truthful, relevant and does not infringe privacy, intellectual property or other rights. You must not post confidential information, manipulated evidence, defamatory allegations, threats, hate content, spam or content offered in exchange for an undisclosed benefit.
You retain ownership of your content. By submitting it to the Platform, you grant Amazonis a worldwide, non-exclusive, royalty-free, transferable and sublicensable licence to host, store, reproduce, format, moderate, display and use it for operating, improving and promoting Venuefy, subject to applicable privacy law. You confirm that you have the necessary rights and consents, including from identifiable persons where required.
We may remove, restrict or label content that violates these Terms, appears fraudulent, is irrelevant or is required to be removed by law. We are not obligated to publish every review or to resolve factual disputes between users and Service Providers.
15. Prohibited Conduct
You must not:
use the Platform for unlawful, fraudulent, misleading, abusive or harmful activity;
impersonate another person, submit fabricated enquiries or misuse Service Provider contact details;
circumvent security, probe vulnerabilities, introduce malware, scrape at scale or interfere with Platform operation;
copy, resell or commercially exploit Platform data, design or content without written permission;
manipulate ratings, reviews, leads, prices, referral benefits or promotional offers;
use another person's payment instrument or identity without authorisation; or
attempt to avoid an agreed Platform Fee through deceptive conduct after Venuefy has materially facilitated the transaction.
16. Intellectual Property
The Venuefy name, logo, trademarks, Platform design, software, databases, text, graphics and original content are owned by or licensed to Amazonis and are protected by applicable intellectual property laws. Except for the limited right to use the Platform for personal or authorised business purposes, no right or licence is granted to reproduce, modify, distribute, reverse engineer, create derivative works from or commercially exploit them.
Venue Partner names, logos, photos and other third-party materials remain the property of their respective owners. You may report suspected infringement through the support channel displayed on the Platform with sufficient identification and supporting details.
17. Communications and Electronic Records
You consent to receive transactional communications relating to enquiries, visits, quotations, bookings, payments, cancellations, support and security through phone, SMS, email, WhatsApp, push notification or in-app message using the details you provide. Transactional messages may continue where necessary even if you opt out of promotional communications.
Marketing communications will be sent subject to applicable law and available preferences. You may opt out using the mechanism provided in the message or by contacting us. Electronic confirmations, OTP records, messages, click-through acceptances and payment records may be retained and relied upon as evidence of transactions to the extent permitted by law.
18. Privacy and Data Use
Our collection and use of personal data is governed by the Venuefy Privacy Policy and applicable data-protection law. To facilitate an enquiry or Booking, we may share relevant information with shortlisted or selected Service Providers, payment processors, communication providers and other authorised service partners.
Do not send unnecessary sensitive personal information through open chat or review fields. You are responsible for obtaining permission before providing another person's details. Venuefy applies reasonable safeguards but no internet-based system can be guaranteed completely secure.
19. Platform Availability, Updates and Suspension
We may update, improve, restrict, suspend or discontinue any Platform feature, listing or channel for maintenance, security, legal, commercial or operational reasons. We do not guarantee uninterrupted or error-free availability, compatibility with every device or preservation of every message indefinitely.
We may suspend or terminate an account, enquiry or access where we reasonably believe these Terms have been breached, fraud or abuse is involved, legal compliance requires action, or continued access creates risk to users, Service Providers or the Platform. Where appropriate, we may allow a reasonable opportunity to clarify the issue.
20. Disclaimers
To the maximum extent permitted by law, the Platform and its discovery, recommendation and communication features are provided on an "as available" basis. Venuefy does not warrant that a venue or service will meet every subjective expectation or that listing information, availability, quotations or third-party services will always be complete, accurate or uninterrupted.
You acknowledge that venue selection and event planning involve independent judgment. Venuefy is not responsible for the acts, omissions, insolvency, misrepresentation, service quality, regulatory default or event-day failure of a Service Provider. Nothing in these Terms excludes a warranty, remedy or right that cannot lawfully be excluded, including applicable statutory consumer rights.
21. Limitation of Liability
To the maximum extent permitted by law, Amazonis, Venuefy and their directors, officers, employees and contractors will not be liable for indirect, incidental, special, punitive or consequential loss; loss of profit, opportunity, reputation or data; emotional distress; or costs arising from a Service Provider's failure, except where such exclusion is prohibited by law.
For a claim arising directly from a paid Platform service performed by Venuefy, Venuefy's aggregate liability will not exceed the Platform Fees actually paid to Venuefy for the specific transaction giving rise to the claim. Amounts collected only for onward settlement to a Service Provider are not Platform Fees. This limitation does not apply to liability that cannot be limited under applicable law, including liability arising from fraud, wilful misconduct or any other non-excludable statutory obligation.
Venuefy will not be liable for a Service Provider's contractual obligations merely because it facilitated communication or payment. Nothing in this clause limits your right to pursue the relevant Service Provider or seek relief before a competent consumer forum or authority.
22. Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless Amazonis, Venuefy and their personnel from third-party claims, losses, penalties and reasonable costs arising from your unlawful use of the Platform, breach of these Terms, infringement of another person's rights, misuse of payment or identity information, or the conduct of your guests, invitees or appointed vendors. This obligation will not apply to the extent a loss was caused by Venuefy's own fraud, wilful misconduct or non-excludable breach of law.
23. Complaints and Dispute Support
If you have a complaint, first contact the relevant Service Provider for event-service issues and notify Venuefy through the support or grievance channel displayed on the Platform. Provide your Booking ID, contact details, relevant documents, payment proof and a clear description of the requested resolution.
Venuefy may facilitate communication or request evidence from either party but is not required to adjudicate private contractual disputes. Any facilitation is without admission of liability and does not prevent either party from using available legal remedies. Complaints involving safety, fraud or unauthorised payment should be reported promptly to the appropriate authority or payment provider in addition to Venuefy.
24. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. The parties should first attempt to resolve a dispute in good faith through written notice and discussion for at least 30 days after receipt of a complete complaint.
Subject to rights that cannot be waived under consumer or other applicable law, any unresolved dispute between you and Amazonis arising specifically from these Terms or the Platform will be referred to arbitration under the Arbitration and Conciliation Act, 1996. The tribunal will consist of a sole arbitrator mutually appointed by the parties. The seat and venue of arbitration will be New Delhi, India, and proceedings will be in English. If the parties do not mutually appoint an arbitrator, appointment may be sought from a competent court in accordance with law.
Courts at New Delhi will have jurisdiction over matters not capable of arbitration and applications connected with arbitration. Nothing in this clause prevents an eligible consumer from approaching a competent consumer commission or other statutory forum.
25. Changes to These Terms
We may revise these Terms to reflect changes in law, Platform features, business practices or risk controls. The updated version will be posted with a revised effective date and, where required, additional notice will be provided. Changes apply prospectively from the stated date. Terms accepted for an already confirmed Booking will continue to govern that Booking unless a change is required by law or agreed by the parties.
26. General Provisions
If any provision is found invalid or unenforceable, it will be limited or removed only to the minimum extent necessary and the remaining provisions will continue. A delay or failure to enforce a right is not a waiver. You may not assign your rights or obligations without our written consent; we may assign these Terms as part of a restructuring, transfer of the Platform or change of control, subject to applicable law.
These Terms and the incorporated policies constitute the agreement between you and Amazonis regarding use of the Platform. For a specific Booking, the Booking Confirmation and accepted Service Provider terms govern the venue or vendor service; these Terms govern the Platform relationship. If there is a conflict, mandatory law prevails, followed by the Booking Confirmation for booking-specific commercial details, the applicable Cancellation or Refund Policy, and then these Terms.
